- Introduction
These Terms of Service govern the contractual relationship between Sky Tech and its clients regarding engineering and IT consulting solutions. By engaging with our services, clients agree to the stipulations outlined herein.
- Scope of Services
- Provision of engineering consultancy, including acoustic design, seismic calculations, MEP design, structural analysis, BIM modeling, and fuel oil systems design.
- Delivery of IT consulting services, encompassing website development, digital marketing, software engineering, application development, and ERP system implementation.
- Project deliverables, scope, and timelines are formalized in contractual agreements.
- Alterations to agreed service terms require documented approval from both parties.
- Client Obligations
- Clients must furnish accurate, complete project specifications and documentation.
- Compliance with regulatory, statutory, and safety frameworks is mandatory.
- Clients are responsible for timely approvals and feedback to mitigate project delays.
- Payment Terms
- Payment structures (fixed fee, milestone-based, or hourly) are contractually determined.
- Invoice payments must be settled within 10 days from issuance; overdue payments may attract penalties.
- Any additional service requests outside the initial agreement are subject to separate billing.
- Project Timelines & Deliverables
- Sky Tech commits to meeting project deadlines, contingent on uncontrollable external factors.
- Delays attributable to client-side inactions will proportionally impact agreed timelines.
- Deliverables will conform to agreed specifications and formats.
- Intellectual Property Rights
- Engineering designs, reports, software solutions, and documentation remain proprietary to Sky Tech unless explicitly transferred.
- Clients are granted usage rights solely for the specified project scope and are prohibited from unauthorized redistribution.
- Confidentiality Agreement
- Both parties are bound by non-disclosure obligations concerning proprietary and project-related information.
- Confidentiality clauses extend beyond the contract period unless otherwise stipulated.
- Liability Limitations
- Sky Tech is not liable for incidental, consequential, or indirect damages resulting from service use.
- Liability is capped at the contract value unless superseded by statutory provisions.
- Clients assume liability for modifications or unintended usage of deliverables.
- Regulatory Compliance
- Both parties must adhere to relevant industry standards, local laws, and regulatory requirements.
- Sky Tech is not accountable for legal violations resulting from client-directed actions or third-party interference.
- Termination Provisions
- Agreements may be terminated by either party with 30 to 60 working days written notice.
- Termination requires the settlement of completed work and incurred costs by the client.
- Refund eligibility, if applicable, is based on the extent of work executed prior to termination.
- Force Majeure Clause
- Sky Tech is exempt from liability for service disruptions caused by unforeseen events such as natural disasters, labor strikes, or governmental restrictions.
- Dispute Resolution Mechanism
- Disputes shall initially be resolved through good-faith negotiations.
- Unresolved disputes shall be subject to arbitration or adjudication rewrite the above content in a more technical manner under the jurisdiction of UAE.
- Policy Amendments
Sky Tech reserves the right to update these Terms of Service. Clients will be notified of any substantive revisions.
